The Site is intended exclusively for the personal, non-commercial shopping and browsing purposes of our customers. You may not access or use the Site for any purpose other than that for which we make the Site available.

Prohibited Activities include, but are not limited to:

Commercial Exploitation: Using the Site or its contents for any commercial endeavor, reseller operations, drop-shipping without prior contractual arrangements, or unauthorized marketing/promotional activities.
Reverse Engineering: Deciphering, decompiling, disassembling, or reverse-engineering any of the software comprising or in any way making up a part of the Site.

5. Products, Descriptions, Accuracy, and Availability

Menhills is dedicated to providing high-quality fashion, apparel, and related merchandise. However, because product displays depend greatly on technical hardware variables, certain limitations apply.

Product Representation

Color and Visual Representation: We make every effort to display as accurately as possible the colors, features, specifications, and details of our products. However, we cannot guarantee that your electronic display’s representation of any color, fabric texture, or design detail will be completely accurate.
Sizing Guides: Sizing charts and fit recommendations are provided for informational purposes only. Measurements are approximate and minor variations in sizing may occur during manufacturing.
Typographical Errors: The Site may contain typographical errors, inaccuracies, or omissions that relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the Site is inaccurate at any time without prior notice (including after you have submitted your order).

Inventory & Stock Availability

All products are subject to availability. We cannot guarantee that items displayed on the Site will be in stock at the time of your order or processing. 7. Order Placement, Acceptance, and Cancellation

Order Receipt vs. Order Acceptance

Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Menhills reserves the right at any time after receipt of your order to accept or decline your order for any reason, or to supply less than the quantity you ordered of any item.

Order Rejections and Cancellations

We reserve the right to refuse or cancel any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address.

Reasons for cancellation or refusal include, but are not limited to:

Product unavailability or supply chain shortages.
Errors in product listings, pricing, or promotion details.
Identification of potential fraud, credit risks, or suspicious account behavior.
Prohibition of shipping to the requested delivery address.

If your order is canceled after your payment has been processed, we will issue a full refund to the original payment method utilized in the transaction.

8. Shipping, Delivery, and Risk of Loss

All shipments are governed by our Shipping Policy, which is incorporated into these Terms.

Delivery Timeframes

Estimated shipping dates, delivery estimates, and transit schedules provided on the Site are approximate and are not guaranteed delivery dates. Menhills is not liable for delays in shipment caused by courier services, customs clearance processes, extreme weather events, strikes, natural disasters, or other conditions beyond our reasonable control.

Risk of Loss

All purchases made through the Site are executed pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery of the physical goods to the carrier. You are responsible for filing any claims with carriers for damaged, delayed, or lost shipments.

Shipping Address Policy

It is your sole responsibility to provide an accurate, complete, and deliverable shipping address. We are not responsible for packages delivered to incorrect addresses provided by the buyer, nor are we responsible for packages that cannot be delivered due to courier access limitations.

Policy Overview

Return Window: If eligible, items may be returned within the specified period from the date of delivery, provided they are in their original, unused, unwashed, and undamaged condition, complete with all original tags and packaging intact.
Non-Returnable Items: For hygiene and health safety reasons, certain categories of goods (including but not limited to underwear, swimwear, socks, customized items, and final-sale clearance products) are strictly non-returnable and non-refundable.
Process and Inspection: All returns are subject to a thorough quality control inspection upon arrival at our warehouse facility. We reserve the right to deny refunds or exchanges for any items that show signs of wear, washing, alteration, scent (perfume, detergent), or damage.
Refund Issuance: Once approved, refunds will be processed to your original payment method. Please allow several business days for your banking institution or card issuer to post the transaction.

Moderation and Deletion

We do not pre-screen all User Content. However, we reserve the full right (but assume no obligation) to monitor, edit, refuse to post, or remove any User Content at any time and for any reason, including if we determine, in our sole discretion, that the content is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or violates any party’s intellectual property or these Terms and Conditions.

13. Site Management and System Interruptions

In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive remedies.

15. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS, SERVICES, AND CONTENT DISTRIBUTED OR MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, MENHILLS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
NON-INFRINGEMENT OF THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS.
WARRANTIES THAT THE SITE WILL RUN UNINTERRUPTED, SECURELY, OR ERROR-FREE.

Your violation of any law, regulation, or the rights of a third party, including intellectual property, privacy, or publicity rights.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of these claims.

18. Governing Law and Jurisdiction

These Terms and Conditions, and your relationship with Menhills under these Terms, shall be governed by, construed, and enforced in accordance with the laws of the country and state in which the parent entity of Menhills is headquartered (specifically the laws of India / the State of Uttar Pradesh), without regard to its conflict of law principles.

You and the Company explicitly agree that the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded and does not apply to this Agreement or any transactions completed under it.

19. Dispute Resolution and Binding Arbitration

Please read this section carefully, as it affects your legal rights, including your right to file a lawsuit in court.

Informal Negotiation

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a “Dispute” and collectively “Disputes”) brought by either you or us, the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration or legal proceedings. Such informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

If the parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration.

YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

The arbitration shall be commenced and conducted under the rules of the applicable arbitration association in your region, or a mutually agreed-upon alternative dispute resolution (ADR) provider. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, providing a statement of reasons if requested by either party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so.

20. Class Action Waiver

THE PARTIES AGREE THAT ANY ARBITRATION OR COURT TRIAL SHALL BE CONDUCTED INDIVIDUALLY AND NOT AS A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR COLLABORATIVE DISPUTE SYSTEM. YOU AND MENHILLS EXPLICITLY WAIVE THE RIGHT TO HAVE ANY DISPUTE FILED, HEARD, COMMITTED TO, OR RESOLVED AS A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

The arbitrator or judge may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

21. Export Control and Trade Compliance

You agree to comply with all domestic and international export laws, import laws, and trade sanctions regulations. You represent and warrant that:

You are not located in a country that is subject to a government embargo, or that has been designated by trade control authorities as a “terrorist supporting” country.
You are not listed on any government list of prohibited, restricted, or sanctioned parties.
You will not purchase, export, or re-export products purchased through the Site to any destination or party prohibited under national or international trade laws.

22. Digital Millennium Copyright Act (DMCA) Notice

23. Severability, Waiver, and Entire Agreement

Acts of God, floods, fires, earthquakes, explosions, or natural disasters.
Pandemics, epidemics, quarantines, or public health emergencies.
Wars, invasions, hostilities (whether war is declared or not), terrorist threats or acts, riots, civil unrest, or revolution.
Governmental orders, laws, regulations, lockdowns, embargoes, or blockades.
National or regional emergencies, strikes, labor stoppages, or slowdowns.
Shortages of adequate power, telecommunications failures, server hosting outages, or transportation disruptions.

25. Changes and Amendments to These Terms

We reserve the right, at our sole discretion, to modify, update, amend, or replace any part of these Terms and Conditions at any time.
